| 大小非股东接连违规 证监会手中缺少惩罚之剑 |

立案了查清了如何发落却成难题 上海证券交易所日前对又一起违规减持解除限售存量股份案作出处理决定。此前的4月29日，宏达股份两股东因有类似违规行为受到处理。几乎在同一时期，深圳证券交易所也对冠福家用公司一股东违规作出了处理。 证监会于4月21日发布《上市公司解除限售存量股份转让指导意见》，墨迹未干，违规行为却接二连三，肆无忌惮，那么如何加大处罚力度，使指导意见能真正发挥作用，进而真正解决大小非解禁（大非指大规模的限售流通股，占总股本5％以上；小非指小规模的限售股，占总股本5％以内；大小非解禁指限售非流通股允许上市）这一历史遗留问题？这对证监会来说是个难题。 违规行为接连发生 4月29日，上交所在日常监控中，发现宏达股份两个持有解除限售存量股份的股东，即四川平原实业发展有限公司和绵阳市益多园房地产开发有限责任公司，在当日通过竞价交易系统分别减持了751.36万股和 696.23万股，减持数量占宏达股份总股本比例分别达到了1.46%和1.35%，而指导意见规定，持有解除限售存量股份的股东预计未来一个月内，公开出售解除限售存量股份的数量超过该公司股份总数1%的，应当通过证券交易所大宗交易系统转让。这两个法人股东第一次被发现触动了指导意见的底线。 “五一节”刚过，5月6日，深交所实时监控发现，中小板上市公司冠福家用，首次公开发行前持有法人股的股东“福建恒联股份有限公司”，在4月21日至5月6日期间通过深交所竞价交易系统，累计卖出冠福家用解除限售存量股份 135.96万股，占该公司总股本的1.19%，也超过了指导意见规定的1%界限。 似乎和监管部门对着干，5月7日上交所又发现一例违规者：自4月21日至5月7日期间，中国石油化工股份有限公司上海石油零售分公司的指定账户，通过上交所竞价交易系统累计卖出开开实业解除限售存量股份达377万多股，占该公司总股本的1.55%。 不是巧合，证监会指导意见是4月20日晚间出现在其官方网站上、21日见报的，但就在21日这一天，深交所冠福家用的一大股东和上交所开开实业的一大股东，通过竞价交易系统批量出售手中限售存量股份。几天之后，上交所宏达股份两股东开始了类似的违规行为。但由于宏达股份两股东出手太狠，一天售股数量就超限，所以首先被上交所处理，随即被证监会立案调查，并表示一定要严查。 --------------------------------------------------------------------------------提供surge protection产品，包括surge protection服务，众多的surge protection信息、surge protection咨询，尽在surge protection网
